By creating an account, accessing our platform, or using any PSG services, you agree to the terms of this User Agreement.

This Agreement governs your relationship with PSG and outlines your rights, obligations, and limitations when using our services.

1. Acceptance of Terms

By registering an account or using PSG’s platform, you acknowledge that:

• You have read, understood, and agreed to this User Agreement;
• You are legally capable of entering into binding contracts in your jurisdiction;
• Your use of the platform will comply with all applicable laws and regulations of the United States, Bangladesh, and any jurisdiction from which you access the services.

2. Nature of Services

PSG provides:

• Cross-border investment access
• ETF-linked investment products
• Market-making and liquidity-related investment solutions
• Research, educational tools, and market information
• Custodial and clearing services provided through licensed partner institutions

PSG does not guarantee investment returns and does not provide personalized investment advice unless explicitly stated.

3. Account Registration & Eligibility

To open an account, you must:

• Provide accurate and verifiable personal information
• Complete KYC/AML verification
• Maintain updated contact and financial information
• Agree to provide documentation upon request for regulatory compliance

PSG reserves the right to approve, reject, suspend, or terminate any account based on regulatory or internal compliance requirements.

4. Compliance With Laws & Regulations

You agree to comply with:

• U.S. Securities and Exchange Commission (SEC) regulations
• Financial Crimes Enforcement Network (FinCEN) anti-money-laundering obligations
• Bangladesh Securities and Exchange Commission (BSEC) guidelines (where applicable)
• All cross-border investment rules applicable to your jurisdiction

PSG may restrict access to certain investment products based on regulatory limitations.

5. Use of Platform

You agree not to:

• Engage in fraudulent or manipulative market activity
• Access the platform in any manner that disrupts its functionality
• Use automated tools without written authorization
• Misuse or distribute proprietary platform data

PSG reserves the right to monitor all activity for compliance and security.

6. Investment Risks

All investments carry market risk. You acknowledge that:

• Investment values may increase or decrease
• Historical performance does not guarantee future results
• Cross-border products may involve currency exchange and regulatory risks
• PSG and partner institutions are not liable for market losses

7. Fees & Charges

You agree to pay all applicable:

• Trading fees
• Custody and clearing fees
• Product-specific subscription or redemption fees
• Regulatory or third-party charges

Fee schedules will be updated periodically on the PSG website.

8. Data Usage & Privacy

Your personal information will be processed in accordance with the PSG Privacy Policy.
PSG may share information with:

• SEC, FinCEN
• BSEC (where applicable)
• Partner custodians, clearing institutions, and affiliated service providers

Always in compliance with legal requirements.

9. Suspension or Termination

PSG may suspend or terminate your account if:

• Required by regulatory authorities
• Suspicious or unlawful activity is detected
• You fail to meet KYC/AML requirements
• You violate any terms in this Agreement

You may close your account at any time unless restricted by an ongoing compliance review.

10. Limitation of Liability

PSG is not responsible for:

• Market losses
• Indirect or consequential damages
• Unavailability of services due to force majeure, system outages, or regulatory restrictions

Platform data is provided “as is” and may include third-party sources.

11. Amendments

PSG may modify this Agreement at any time. Updated versions will be published on the platform and will take effect immediately unless otherwise required by law.

12. Governing Law

This Agreement is governed by:

• U.S. federal securities laws
• Applicable state regulations
• Relevant Bangladeshi laws for users accessing services from Bangladesh
